What makes it illegal? He is wearing a helmet. What if this were my only means of transportation? Does it make a difference that we had just picked him up from school and were not on any highways?

It's the same as riding in someone's lap in a car. The seat was designed to accommodate two people, not three. Some states require each person have their own set of pegs as well. Nevada has this peg law, though it makes no mention about requiring the passenger to be able to reach them.
